Terms of Service for the electronic provision of services - Snomi

§1. General provisions
1.1. These Terms of Service set out the type, scope and conditions for the electronic provision of services via the Snomi service, in accordance with the Polish Act of 18 July 2002 on the provision of services by electronic means.
1.2. The Service Provider is Łukasz Stolarczyk, ul. Widok 31, 40-118 Katowice, conducting unregistered business activity within the meaning of Article 5 of the Polish Entrepreneurs Law, providing services under the Snomi brand. Contact: hello@snomi.app.
1.3. Use of the Service requires prior review of these Terms of Service and their acceptance.
1.4. The Service is addressed exclusively to entities conducting business or professional activity (B2B). These Terms of Service do not apply to Consumers within the meaning of §2.
§2. Definitions
Service Provider - Łukasz Stolarczyk, operating the Snomi brand (details in §1.2).
Service / Platform - SaaS software available at panel.snomi.app and the informational website snomi.eu (the Polish site is snomi.pl; snomi.app redirects to snomi.pl), used for auditing, optimising and exporting product feeds for Google Merchant Center, including conversational attributes used by Google AI services.
Consumer - a natural person performing an act not directly related to their business or professional activity, and also a natural person conducting a sole proprietorship who concludes a contract that is not of a professional nature for them and to whom the law grants consumer rights. The Service is not intended for Consumers.
Customer / User - a business entity using the Service for purposes related to business or professional activity.
Account - a set of permissions and data assigned to an e-mail address, enabling access to the Service.
Organisation - a company account grouping a team of users, stores and shared limits resulting from the Plan.
Store (Project) - a separate product catalogue within an Organisation.
Plan - a subscription tier that defines limits for products, stores, AI credits and team seats. Current Plans and prices are available on the Website and in the panel at panel.snomi.app/panel/platnosci.
AI Credit - a billing unit of the monthly AI content generation limit assigned to an Organisation. Generating proposals for one attribute of one product consumes credits in a number that depends on the number of ordered proposals and any enabled add-ons (e.g. custom AI instructions). The base pool of proposals for each attribute is covered by the price of one credit; detailed charging rules are described on the Website and in the panel.
Trial - a free 7-day trial period available once per Organisation.
Free audit - a free, one-time feed analysis available without registration, ordered via the form at snomi.eu/free-audit (§12).
Payment Operator - Stripe, which processes transactions on the Website.
§3. Technical requirements
3.1. Use of the Service requires: an Internet connection, a device with a current browser that supports JavaScript and cookies, and an active e-mail account.
3.2. The main feed imported into the Platform should be in XML format compliant with the Google Merchant Center specification. An additional supplemental feed may be imported in CSV or TSV formats, or as a Google Sheet shared via URL.
3.3. Technical import limits (including maximum file size) depend on the Plan and are described on the Website.
§4. Account and access to the Service
4.1. Registration takes place at panel.snomi.app/rejestracja - by providing an e-mail address and password, or by signing in with a Google account (OAuth), if that option is available. When signing in with Google, the Service Provider receives basic profile data from Google (e-mail address, first and last name); it does not receive the Google account password. The Service Provider may disable public registration - in that case access is granted by invitation.
4.2. Invitation. The Owner or Administrator of an Organisation may invite other persons by providing an e-mail address. An invitation is valid for 7 days.
4.3. Account data. The User provides accurate data (including first name, company name, e-mail, tax ID / NIP). One e-mail address may be assigned to one Account. Signing in with a Google account that uses the e-mail address of an existing Account links to that Account.
4.4. Security. The User is responsible for the confidentiality of the password and for actions taken using the Account. The Platform offers optional two-factor authentication (2FA, TOTP) - the User is responsible for storing backup codes.
4.5. Account deletion. The User may request deletion of the Account by writing to hello@snomi.app. Deletion of an Organisation Owner's Account requires prior transfer of ownership or deletion of the Organisation.
§5. Rules of use of the Service
5.1. The User uses the Service in accordance with its intended purpose, the law and these Terms of Service.
5.2. In particular, it is prohibited to:
- share login credentials with persons outside the Organisation;
- manage in a single Organisation content belonging to unrelated entities (e.g. independent agency clients on a non-agency plan);
- attempt unauthorised access, reverse engineering, decompilation or infrastructure scanning;
- automatically create accounts, scrape data, or use unapproved interfaces;
- import data to which the User does not hold rights;
- resell, sublease or sublicense access;
- use the Service to build a competing product;
- upload malware;
- abuse promotions, discount codes, the Trial or the Free audit.
5.3. Imported data. The User represents that they hold the rights to imported feeds. The Service Provider does not verify the lawfulness of imported content.
5.4. The Organisation Owner is responsible for the actions of all team members.
§6. Plans, order and conclusion of the contract
6.1. The Service is available in the following plans: Starter, Growth, Business, Agency and enterprise plans (agreed individually). Current prices and limits are available on the Website and in the panel.
6.2. Trial. A new Organisation receives a free 7-day trial period, available once per Organisation, without providing card details. The scope of features available in the Trial may differ from paid plans; differences are described on the Website. After the Trial ends, the account switches to read-only mode (§10).
6.3. Conclusion of a paid contract takes place upon confirmation of the order with the "Order and pay" button and payment of the fee.
6.4. Plan change. An upgrade takes effect immediately, with pro-rata billing. A downgrade takes effect at the end of the current billing period, with no refund for unused time.
§7. Payments
7.1. The subscription fee is paid in advance in accordance with the Price List. Prices are stated in PLN. The subscription is billed on a monthly cycle.
7.2. Payments are processed by the Payment Operator (Stripe) via Stripe Checkout (first order) and the Stripe Customer Portal (changes). The Service Provider does not store payment card data.
7.3. The subscription renews automatically each month until cancelled by the User before the end of the period.
7.4. Sales documents. As part of unregistered business activity, the Service Provider issues sales receipts (rachunki).
7.5. The User consents to receiving sales documents by electronic means.
7.6. A change to the Price List does not affect fees already paid.
§8. AI Credits and limits
8.1. AI content generation consumes AI Credits assigned to the Organisation on a monthly cycle. The number of credits consumed depends on the number of ordered proposals and add-ons (e.g. custom AI instructions increase generation cost); charging rules are described on the Website and in the panel.
8.2. AI Credits renew each month, do not accumulate and do not carry over to the next period.
8.3. Credits are consumed when content is generated - saving accepted content alone does not consume credits.
8.4. Selected Platform features (e.g. a strategic AI audit in PDF report form) may consume a number of AI Credits from the Organisation's pool as specified on the Website. Credits for such a report are charged only after it has been successfully generated.
8.5. The export limit (number of SKUs) applies to a single output feed per Store. After the limit is exceeded, downloading the XML and the permanent feed URL are blocked until the Plan is changed or the feed is reduced.
8.6. The Service Provider may offer paid AI Credit top-up packages; their availability and prices are described on the Website or in the panel.
§9. AI-generated content
9.1. The Platform uses AI models to generate content proposals (titles, descriptions, attributes), including in bulk mode for many products at once.
9.2. AI-generated content constitutes proposals. The User verifies and approves content before saving and exporting - individually or in bulk.
9.3. Depending on configuration and available options, requests may be sent to external AI model providers (including OpenAI, Google Gemini, Anthropic). The User may use their own API keys - in that case data is processed under the terms of their agreements with the provider. Details are set out in the Privacy Policy.
9.4. The Service Provider does not warrant the accuracy of AI-generated content or its acceptance by external platforms. Responsibility for the content of the exported feed rests with the User.
§10. Read-only mode
10.1. After expiry of the Trial or subscription, the Organisation switches to read-only mode.
10.2. In this mode the User may browse the catalogue and download the output feed XML file. The following are blocked: product editing, AI generation, import and synchronisation.
10.3. Organisation data is stored for as long as the account exists, including in read-only mode. The User may at any time request deletion of data or the account by contacting hello@snomi.app. Selected technical and security data (including authentication audit logs, IP block data, backups) have their own retention periods described in the Privacy Policy and may be stored for those retention periods even after account deletion.
§11. Catalogue protection against anomalies
11.1. The Platform detects irregularities in imported feeds (including a sudden drop in product count of more than 5%).
11.2. After an anomaly is detected, the import is paused and the catalogue remains unchanged. The User receives a notification and decides whether to approve or reject the import.
11.3. Failure to decide within 48 hours results in automatic rejection of the import.
§12. Free audit
12.1. The Service Provider provides a free, one-time feed audit, ordered via the form at snomi.eu/free-audit, without registration.
12.2. In the request form the User provides an e-mail address, store URL and XML feed URL; optionally a phone number and information on what they would like to improve in the feed. Submitting the request requires acceptance of the Privacy Policy.
12.3. The audit report is prepared by the Service Provider and sent to the provided e-mail address within 24 hours of the request.
12.4. Feed data is used to prepare the report; the rules for processing request data are set out in the Privacy Policy.
12.5. The Service Provider may introduce technical and quantitative limits (including number of requests, number of products, file size) and refuse to perform the audit in case of abuse.
§13. Availability and technical support
13.1. The Service Provider makes efforts to keep the Platform available 24/7, but does not guarantee uninterrupted availability.
13.2. The Service Provider may carry out technical maintenance; for planned downtime longer than 1 hour it will provide advance notice.
13.3. The Service Provider is not liable for unavailability caused by failures of external providers (including Cloudflare, hosting, Stripe, AI providers).
13.4. Technical support is provided as part of the subscription fee, by e-mail to hello@snomi.app and via the "Report a bug" form in the panel, on business days between 9:00 and 17:00. Support does not cover elements modified independently by the User or errors resulting from failure to meet the technical requirements in §3.
§14. Intellectual property
14.1. Rights to the Platform, its code, interface, logos and documentation belong to the Service Provider.
14.2. The User retains rights to imported data (feeds) and to content generated by AI and accepted by the User.
14.3. The User grants the Service Provider a non-exclusive, royalty-free licence to process imported data solely for the purpose of providing the Service.
14.4. Content generated by external AI models is subject to the licence policies of their providers.
§15. Liability
15.1. The Service is provided on an "as is" basis. The Service Provider does not warrant that all of the User's expectations will be met or that AI content will be error-free.
15.2. The Service Provider is not liable for decisions made by the User based on the results of the Service, or for rejection of products by Google or other external platforms.
15.3. The Service Provider's aggregate liability is limited to the fees paid by the User in the 3 months preceding the event.
15.4. The Service Provider is not liable for data loss resulting from the User's actions.
§16. Termination and suspension
16.1. The User may cancel the subscription at any time via the Stripe panel or by contacting the Service Provider. Cancellation does not entitle the User to a refund for the current period.
16.2. The Service Provider may suspend or terminate access with immediate effect in the event of a material breach of these Terms of Service, action harmful to the Service, or illegality.
16.3. Where suspension is for reasons not attributable to the User, the Service Provider will refund a proportionate part of the fee.
§17. Complaints
17.1. Complaints and bug reports should be sent to hello@snomi.app or via the "Report a bug" form in the panel.
17.2. A complaint should include the e-mail assigned to the account, a description of the irregularity and a proposed remedy.
17.3. Complaints are handled within 14 days.
§18. Data processing agreement
18.1. If data imported by the User contains personal data of which the User is the controller, processing by the Service Provider is carried out under a separate data processing agreement (DPA).
18.2. A template data processing agreement is available on request.
§19. Changes to the Terms of Service
19.1. The Service Provider may amend these Terms of Service for valid reasons, notifying Users by e-mail and on the Website at least 14 days in advance.
19.2. Failure to accept the changes entitles the User to terminate the contract before they take effect.
§20. Final provisions
20.1. Matters not regulated herein are governed by Polish law.
20.2. The parties will seek to resolve disputes amicably; failing agreement - the court with jurisdiction for the Service Provider's registered address.
20.3. Invalidity of any provision does not affect the validity of the remaining provisions.
